Acceptance of the Terms of Use

These Terms of Use are entered into by and between you, ("you") and Spectrum AIS Inc. o/a Paqt ("Paqt", "we" or "us") and govern your access to and use of the website: https://paqt.chat, any sub-domains ("Website"), platform and mobile application, including any content, functionality plug-ins, and other services offered on, through or by Paqt ("Services").

Please read the Terms of Use carefully before you start to use the Services, as they contain important information regarding your legal rights. These include various disclaimers, limitations and exclusions, and a dispute resolution clause that governs how disputes will be resolved. Access to and use of the Services are provided by us to you on the condition that you accept these Terms of Use.

You agree that the agreement formed by these Terms of Use is like any written negotiated agreement signed by you, and you agree to be bound by and cause your authorized users to be bound by, and fully comply with, its terms. You represent and warrant that you have all necessary right, power and authority to enter into these Terms of Use and to perform and otherwise discharge all of your obligations hereunder. If you are agreeing to these Terms of Use on behalf of an organization or other third party, you represent and warrant that you have the authority to bind the organization or third party.

All information we collect on this Website is subject to our Privacy Policy. By using the Website or Services, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

1. Access to the Website and Services

You may be able to access our Website or Services using a third-party login API (commonly defined as application program interface) from service providers such as Facebook and Google. If you utilize any of these third-party services to login to our Website or Services, you will automatically be releasing certain information to them, which we cannot and may not be able to identify, prevent transmission of, have control over, determine its use, or whether it was further shared with other parties beyond our knowledge. We recommend users create their own login credentials on our system so that Paqt may have more control over its use.

We reserve the right to withdraw or amend the Website and the Services or material we provide on the Website or Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website or Services is unavailable at any time or for any period. From time to time, we may restrict access to some or to all parts of the Website and the Services.

2. Access and Security

To access the Services available on the Website, you may need to sign up for, open and maintain an account ("Account") with us. You cannot transfer your Account to any other person, or permit anyone to use same. It is a condition of your use of the Services that all the information you provide is correct, current, and complete.

If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your Account is personal to you and agree not to provide any other person with access to the Website or Services or portions of either using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to your Account or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your Account at the end of each session. You should use particular caution when accessing your Account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time, if, in our opinion, you have violated any provision of the Terms of Use.

You are entirely responsible for maintaining the confidentiality of your username and password and for any and all activities that are conducted through your Account. We disclaim any and all responsibility or liability for any unauthorized use of your Account.

3. Paqt's Intellectual Property Rights

The Website and Services and the entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Paqt, its third party providers, or other licensors of such materials and may be protected by intellectual property laws including laws relating to copyrights, trade-marks, trade-names, internet domain names and other similar rights.

The Terms of Use permit you to use the Website or Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website or Services, except as follows:

  • Your computer may temporarily store copies of such materials in RAM, or similar, incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your web browser for display enhancement purposes.
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal use, or if commercial use, it be for internal purposes only provided you agree to be bound by our end user license agreement for such applications.

You must not:

  • Modify, create derivative work or create copies of any materials from the Website or Services.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website or Services.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by Paqt. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

4. Trademarks

Paqt name, logo and all related names, logos, product and service names, designs, and slogans are trademarks of Paqt, its affiliates or service providers ("Paqt Parties"). You must not use such marks without the prior written permission of Paqt. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Your Contributions

The Website and Services may contain dashboards, chat rooms, message boards, personal and company account web pages or profiles, document editors, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons ("post") content or materials (collectively, "User Content") on or through the Website or Services.

All User Content must comply with the Content Standards set out in these Terms of Use.

Any User Content you post to the Website and during your use of the Services will be considered proprietary to you. You acknowledge and agree that, by providing any User Content on the Website, Paqt may de-identify the User Content and use it to generate aggregated analytics for the purpose of improving user experience on the Website and the Services. Any further actions by the Paqt Parties to use, reproduce, modify, display, distribute, and otherwise disclose to third parties will be subject to your express consent; to be obtained on a case-by-case basis. The transmission of information via the internet is not completely secure. Although we do our best to protect your User Content, we cannot guarantee the security or confidentiality of User Content posted on our Website and used for our Services. Any posting of User Content is at your own risk.

You represent and warrant that you own or control all rights in and to the User Content and have the right to grant the license granted above to the Paqt Parties, and each of their and our respective licensees, successors, and assigns.

You understand and acknowledge that you are responsible for any User Content you submit or contribute, and you, not Paqt, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Content posted by you or any other user of the Website.

Content Standards

These content standards apply to any and all User Content and use of Interactive Services. User Content must in their entirety comply with all applicable laws and regulations. Without limiting the foregoing, User Content must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

Limitation on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAQT PARTIES’ TOTAL, AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL IN NO EVENT EXCEED THE TOTAL AMOUNT OF PAYMENTS PAID OR OWED BY YOU DURING THE (6) MONTHS PERIOD PRECEDING THE DATE ON WHICH THE CLAIM AROSE. IN NO EVENT WILL THIS LIMITATION APPLY TO THE AMOUNTS DUE FOR SERVICES UNDER THE AGREEMENT.

Indemnification

You agree to defend, indemnify, and hold harmless Paqt Parties and our and their respective successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of the Terms of Use or your use of the Website or Services, including, but not limited to, (i) your User Content, any use of the Website's content, Services, and products other than as expressly authorized in these Terms of Use, (ii) your use of any information obtained from the Website (iii) your violation of any third-party right, including without limitation any copyright, property or privacy right, (iv) any transaction that you conduct as a result of the contract facilitated by the Website or Services or (v) any activity using your email address and password by you or any other person accessing the Website or Services using your account or email address.

Investigations

You agree that Paqt or its representatives may access your Account and all information and any records related thereto on a case-by-case basis if authorized by you and to investigate complaints or allegations of: (i) any breach of these Terms of Use; (ii) infringement of third-party rights; (iii) any unauthorized use of the Website or Services or (iv) breach of applicable laws. Paqt does not intend to disclose the existence or occurrence of any investigation unless required by law or if requested by law enforcement officials.

Jurisdictions

If you are residing in a jurisdiction where it is forbidden by law to participate in the activities offered by the Website or Services, you may not enter into these Terms of Use. By using the Website and Services, you are explicitly stating that you have verified in your own jurisdiction that your use of the Website and Services is allowed.

Monitoring and Enforcement; Termination

We have the right to:

  • Remove, refuse to post or take any action we deem necessary or appropriate with respect to User Content.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website or Services.
  • Terminate or suspend your access to all or part of the Website or Services for any or no reason, including without limitation, any violation of these Terms of Use.

We do not undertake to review all material before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

We may revise and update, at any time: (i) the Terms of Use, (ii) the Website, including terminating, eliminating, supplementing, modifying, adding or discontinuing any content or feature or data or service on or available through the Services, and (iii) the equipment, hardware or software required to use and access the Website or Services. All changes are effective immediately upon notice which we may provide by any means including, without limitation, posting on the Website, the platform, and/or on the mobile application.

Your continued use of the Services following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

If you want to contact us with feedback, comments, suggestions (the “Comments”) requests for technical support regarding the Website, the Services or the Terms of Use, please (i) email us at [email protected].

You agree with respect to any comments provided by you to us, via e-mail or otherwise, that: (i) Paqt has no obligation concerning such Comments; (ii) such Comments are non-confidential; (iii) Paqt may use, disclose, distribute or copy such Comments and may use any ideas, concepts or know-how contained in such Comments for any purpose and without restriction or obligation to you; and (iv) such Comments are truthful and do not violate the legal rights of others.

General Terms

These Terms of Use and any action related thereto shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles. The parties hereby irrevocably attorn to the exclusive personal jurisdiction and venue of the courts sitting in Toronto, Ontario, or any courthouse within 100km of Toronto.

No waiver by Paqt of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Paqt to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

The Terms of Use constitute the sole and entire agreement between you and Paqt regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers, indemnity and limitations of liability.

These Terms of Use are not assignable, transferable or sub-licensable by you except with Paqt’s prior written consent. We may assign, transfer or convey these Terms of Use to a third party without notice to you. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption or section title contained in these Terms of Use is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof. 

It is the express wish of the parties that these terms and all related documents be drawn up in English. C'est la volonté expresse des parties que la présente convention ainsi que les documents qui s'y rattachent soient rédigés en anglais.
